Terms of Service

Effective date: May 18, 2026

These Terms of Service (the “Terms”) constitute a binding legal agreement between you (“you,” “your,” or “User”) and ECI Software Solutions (“ECI Software Solutions,” “we,” “us,” or “our”) and govern your access to and use of the Employee Portal located at https://employee.ecisolutions.org and any related services we make available through it (collectively, the “Service”).

Please read these Terms carefully. By accessing the Service, accepting an invitation to the Service, or clicking “I agree,” you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.If you do not agree, do not access or use the Service.

1. Acceptance of Terms

You may access the Service only after you have (a) received an invitation from an authorized ECI Software Solutions administrator, (b) created and activated your account, and (c) affirmatively accepted these Terms and the Privacy Policy. Your continued use of the Service after any update to these Terms constitutes acceptance of the updated Terms. If you are accessing the Service on behalf of a legal entity, you represent that you have authority to bind that entity to these Terms.

2. Definitions

  • “Account” means the unique credentials and profile associated with you in the Service.
  • “Administrator” means a User assigned a “client” role with permission to invite, manage, pay, or terminate other Users.
  • “Content” means any information, text, files, signatures, contracts, identifiers, or other materials submitted to or generated within the Service.
  • “Engagement” means the underlying employment, contractor, or consulting relationship to which the Service relates, evidenced by an executed agreement outside of these Terms.
  • “Payout Information” means bank, wire, stablecoin wallet, or other payment-rail information you provide to receive compensation.

3. Eligibility & Account

You must be at least 18 years old and legally able to enter into a binding contract in your jurisdiction. The Service is invitation-only. You agree to (a) provide accurate and current information; (b) keep your password and any one-time codes confidential; (c) promptly notify ECI Software Solutions of any unauthorized access; and (d) accept responsibility for all activity that occurs under your Account, subject to applicable law.

4. No Employment Created by Portal Use

Access to or use of the Service does not, by itself, create an employment, contractor, agency, joint-venture, or partnership relationship between you and ECI Software Solutions. Any such relationship arises solely from a written agreement executed between you and ECI Software Solutions (including any contract you sign through the Service). Nothing in these Terms shall be read to override the terms of that agreement; in the event of a conflict, the executed engagement agreement controls with respect to the subject matter it covers.

5. Acceptable Use

You agree that you will not, and will not assist any third party to:

  • access the Service for any unlawful purpose or in violation of any applicable law;
  • impersonate any person or misrepresent your identity, qualifications, or relationship to ECI Software Solutions;
  • reverse-engineer, decompile, scrape, or otherwise attempt to obtain the source code or non-public components of the Service, except as expressly permitted by law;
  • interfere with, disrupt, probe, or test the security of the Service or any related network, including by attempting to bypass authentication, rate limits, or two-factor verification;
  • upload, transmit, or store malware, illegal content, or material that infringes intellectual property or privacy rights of others;
  • use the Service’s outbound email functions to send unsolicited bulk mail, phishing messages, or content that violates applicable anti-spam, anti-phishing, or telemarketing laws (including the U.S. CAN-SPAM Act, Canada’s CASL, the EU GDPR/ePrivacy Directive, and any successors); or
  • access the Service through automated means (other than ECI Software Solutions-provided integrations) at a frequency or volume that materially burdens our infrastructure.

6. Account Security & Two-Factor Authentication

Administrator accounts are protected by mandatory two-factor authentication (“2FA”), enforced via a six-digit code delivered to the email address on file for each new device. You are responsible for maintaining secure access to that email address. By accepting these Terms you consent to receive 2FA codes and other security-related communications by email. You may designate a device as “trusted” for up to ninety (90) days; doing so is a voluntary decision and you accept the risk of access from any device you so designate. ECI Software Solutions may revoke trusted-device status at any time without notice.

7. User Content & Submissions

You retain ownership of Content you submit to the Service, subject to the rights you grant below. You hereby grant ECI Software Solutions a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, copy, transmit, display, and process your Content solely as necessary to (a) operate, secure, and improve the Service; (b) process payroll and disburse compensation in accordance with your Engagement; (c) comply with law, court order, or regulatory request; and (d) defend legal claims relating to the Service or your Engagement. You represent that you have all rights necessary to submit your Content and that your Content does not violate any third-party right.

8. Electronic Signatures

You agree that any electronic signature you apply within the Service — including by drawing a signature on screen, typing your name, clicking “I agree,” or otherwise affirmatively indicating assent — has the same legal effect as a handwritten signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN), the Uniform Electronic Transactions Act (UETA), the EU eIDAS Regulation, and any analogous applicable law. ECI Software Solutions may retain timestamps, IP addresses, user-agent strings, and the rendered signature image as evidence of execution. You agree such records may be admitted as proof of your signature in any proceeding.

9. Compensation, Payouts & Tax

Specific compensation terms — including amount, currency, schedule, and tax withholding obligations — are governed by your executed engagement agreement, not by these Terms. The Service supports several payout rails, including domestic ACH/wire, international SWIFT wire, USDT (TRC-20), USDC (Base), and custom rails you describe. You are solely responsible for the accuracy of any Payout Information you provide. ECI Software Solutions is not liable for transfers misdirected as a result of inaccurate Payout Information; you acknowledge that on-chain stablecoin transfers, once broadcast, are generally irreversible. You are responsible for any income, transfer, withholding, or other tax obligations arising from compensation received, and you agree to provide tax-identification information requested by ECI Software Solutions as required by applicable law.

10. Confidentiality

You may receive or have access to information that ECI Software Solutions or its affiliates treat as confidential, including personnel records, compensation data, customer lists, business plans, and technical information. You agree (a) to use such confidential information solely for the purpose of your Engagement and your permitted use of the Service; (b) to protect it with at least the same care you use for your own confidential information of like importance, but no less than reasonable care; and (c) not to disclose it to any third party without prior written consent, except as required by law. Obligations under this Section survive termination for so long as the information remains confidential.

11. Intellectual Property

The Service, including all software, designs, trademarks, logos, and other materials supplied by ECI Software Solutions, is owned by ECI Software Solutions or its licensors and is protected by copyright, trademark, and other intellectual-property laws. Except for the limited license expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise. You may not remove, alter, or obscure any proprietary notices on the Service.

12. Third-Party Services

The Service integrates with third-party providers, including email delivery (Namecheap Private Email / SMTP), team chat (Slack), and database hosting (MongoDB Atlas). Your use of any third-party service is governed by that provider’s own terms; ECI Software Solutions is not responsible for third-party services or any acts or omissions of their operators. Links to external sites are provided for convenience and do not constitute an endorsement.

13. Termination & Suspension

ECI Software Solutions may suspend or terminate your access to the Service at any time, with or without cause, including for any breach of these Terms. Upon termination, your right to access the Service ceases immediately, but Sections 7 (User Content), 8 (Electronic Signatures), 10 (Confidentiality), 11 (IP), 14–17 (Disclaimers, Limitations, Indemnity, Governing Law) and any other provision that by its nature should survive will survive. Termination of access does not, by itself, terminate your Engagement; the terms of your engagement agreement govern that relationship.

14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW,ECI Software Solutions DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. ECI Software Solutions DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT WILL BE ACCURATE OR RELIABLE. NO ADVICE OR INFORMATION OBTAINED FROM ECI Software Solutions OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ECI SOFTWARE SOLUTIONS, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ECI SOFTWARE SOLUTIONSHAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ECI SOFTWARE SOLUTIONS’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) ONE HUNDRED U.S. DOLLARS (USD $100) OR (b) THE AMOUNTS PAID BY YOU (IF ANY) FOR USE OF THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless ECI Software Solutions, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising out of or in any way connected with (a) your access to or use of the Service; (b) your violation of these Terms; (c) your Content or your conduct in the Service; or (d) your violation of any third-party right, including any intellectual-property, privacy, or publicity right.

17. Governing Law & Disputes

These Terms are governed by and construed under the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas, and you consent to personal jurisdiction in those courts. You agree that any claim must be brought within one (1) year after the cause of action accrues, or it will be permanently barred.

18. Changes to These Terms

ECI Software Solutions may update these Terms from time to time. When we do, we will revise the “Effective date” at the top of this page and may notify Users by email or by displaying a notice in the Service. Material changes will become effective no earlier than fourteen (14) days after we post or send the notice. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of the revised Terms.

19. Miscellaneous

These Terms (together with the Privacy Policy and any engagement agreement executed through the Service) are the entire agreement between you and ECI Software Solutionsconcerning the Service. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets. Notices may be sent by email to the address on file for your Account.
